1. Scope and Purpose

These Terms of Use (“Terms”) govern the access to and use of the online platform CroExplore (“we”, “us”, “our”), available at [insert domain name].

CroExplore provides a digital information and advertising platform that allows business owners (“Providers”) to create listings for their services in Croatia and allows consumers/travelers (“Users”) to discover and contact these businesses.

All users agree to be bound by these Terms by accessing or using CroExplore.

2. Our Role

  1. CroExplore operates exclusively as an online information and advertising service.
  2. We do not offer, organize, or sell the products or services listed by businesses.
  3. All commercial contacts, bookings, or contracts between consumers/travelers and listed businesses are made directly between those parties.
  4. CroExplore is not a party to any contract concluded between users and providers, and is not responsible for communication, payment, or performance of services.
  5. Listings on CroExplore serve informational and advertising purposes only.
  6. CroExplore cannot guarantee the accuracy, completeness, or legality of any content provided by listing owners.

3. Registration and User Accounts

(a) Business Owners

  • Must register to create and manage listings.
  • Are responsible for ensuring that all business information, text, and images are accurate, lawful, and up to date.
  • Confirm that they hold all rights to the uploaded materials and that such content does not infringe third-party rights.

(b) Consumers / Travelers

  • May use the platform freely without registration.
  • Optional registration allows saving favorites, submitting reviews, or contacting businesses.
  • Must be at least 18 years of age or have consent from a legal guardian.

(c) Account Security

Users must keep login credentials secure and are responsible for all activity under their account.
CroExplore may suspend or delete accounts that violate these Terms or legal provisions.

4. Listings and Content

(a) Business Owner Responsibilities

  • You are solely responsible for all data you submit. Owners are solely responsible for ensuring that any content they upload, including images and other media, does not infringe on third-party copyrights or legal rights, and they may be held legally accountable for any violations.
  • You warrant that your listing complies with all applicable laws, especially regarding consumer protection, price transparency, and advertising standards.

(b) License to Use Content

By submitting content (text, images, logos, etc.), you grant CroExplore a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, publish, and promote the materials in connection with operating and marketing the platform.

(c) Moderation Rights

CroExplore reserves the right to review, edit, or remove content that is false, unlawful, misleading, or violates these Terms.

5. Listing Duration and Packages

  1. Free listings are visible for 12 months from approval.
  2. After expiration, listings are deactivated unless renewed through a paid package.
  3. Paid packages may extend visibility for one or more years and for multiple listings, as selected.
  4. Package prices and durations are displayed transparently before purchase.

6. Fees, Payments, and Invoicing

  1. Payments for visibility packages are due immediately via the available payment methods.
  2. All prices are in EUR (€) and include VAT in accordance with German tax law.
  3. An invoice will be sent electronically to the email address provided at registration.
  4. Payments are non-refundable, except where CroExplore fails to deliver the purchased digital service or where mandatory law grants a right of withdrawal.
  5. CroExplore may correct obvious errors in pricing or technical display.

7. Consumer Right of Withdrawal (Widerrufsrecht)

If you are a consumer (per § 13 BGB) and have purchased a paid digital service (e.g., visibility package):

  1. Because the service is used immediately upon payment (e.g., the offer goes online before the 14-day period expires), you expressly waive your right of withdrawal pursuant to Section 356 Paragraph 5 of the German Civil Code (BGB).

8. Use by Consumers and Travelers

  1. Consumers use CroExplore for informational purposes only.
  2. All communications, inquiries, or contracts with listed businesses occur outside of CroExplore’s responsibility.
  3. CroExplore is not involved in negotiations, bookings, or payment processing.
  4. We are not liable for the quality, fulfillment, or safety of any service provided by the listed businesses.
  5. Users should verify all information directly with the provider before entering into any agreement.

9. Reviews and Ratings

  1. Registered users may leave reviews based on genuine experiences.
  2. Reviews must not contain unlawful, defamatory, or false statements.
  3. CroExplore may moderate or delete reviews that violate these rules.
  4. By posting a review, the user grants CroExplore a right to use it for informational and promotional purposes.

10. Limitation of Liability

  1. CroExplore is liable only for damages resulting from intentional or grossly negligent behavior.
  2. For slight negligence, CroExplore is liable only for damages resulting from a breach of essential contractual obligations (“Kardinalpflichten”), limited to foreseeable damages typical for this type of contract.
  3. CroExplore is not liable for:
    • Any contractual or payment relationship between users and businesses;
    • Errors or omissions in user-submitted content;
    • Indirect or consequential damages, including loss of profit.
  4. The maximum liability for paid services is limited to the value of the affected package.

11. Intellectual Property

  1. The CroExplore website, logo, design, and underlying software are protected under copyright and trademark law.
  2. Users may not copy or reproduce platform materials without written consent.
  3. Content uploaded by users remains their property but is licensed to CroExplore under Section 4(b).

12. Data Protection (Datenschutz)

  1. CroExplore processes personal data in accordance with the EU General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG).

  3. By using CroExplore, you consent to the processing of your personal data as described therein.

13. Termination

  1. Users may delete their accounts at any time.
  2. CroExplore may suspend or terminate accounts that violate these Terms or applicable law.
  3. Termination does not entitle users to refunds, except where legally required.

14. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.
